A company may be formed under the authority of CLOUT.
A company formed under the authority of CLOUT must meet the following requirements:
A company is an organization that sells goods or services in exchange profit, owns and controls other companies, and/or holds assets.
The company name should be proper case or fully capitalized. The company name may be a single word or multiple words. The company name may end with "Inc." ("INC.", "Incorporated") or "Llc." ("LLC.", "Limited Liability Company").
The capitalization table ("cap table") should define the equity ownership of the company by its shareholders. The shareholders of the company may include the founders, officers, and employees of the company. If a company is publicly traded, the shareholders may also include members of the public.
The founders of the company are the individuals who formed the company, and may be officers and employees of the company. All founders of the company may call themselves a "founder" ("Founder") of the company.
The officers of the company are the individuals who hold official positions at the company, and may be employees of the company. Official positions start with "Chief" and end with "Officer" and may include CEO (Chief Executive Officer), COO (Chief Operating Officer), CFO (Chief Financial Officer), CTO (Chief Technology Officer), CIO (Chief Information Officer), CPO (Chief Product Officer), and CMO (Chief Marketing Officer).
The employees of the company are the individuals who are employed by the company. The employees of the company may include the founders and the officers of the company. The employees of a company should be paid on a regular schedule by the company.
Contractors are not considered founders, officers, or employees of the company, and may be paid hourly or in fixed amounts.
The company may have a board of directors that is elected by its shareholders to represent the shareholders' interests and to oversee corporate management. The board of directors sets the company's high level policy, maintains the company's financial stability, and hires the company's officers.
